- use Website in any manner that could interfere with, disrupt, negatively affect or inhibit other users from using our services with full functionality, or that could damage, disable, overburden or impair the functioning of the Website or the delivery of Kabuni’s services and products in any manner.You hereby further agree and acknowledge that the violation of the aforementioned representations and warranties may result in the termination of Kabuni’s services and access to the Website.

Wallets

1. The wallets created on this website for the purposes of holding crypto assets are powered by certain technologies provided by third party.  

2. By using this website or the services provided on it,you agree to and represent and warrant that:

-      You are not a Prohibited User, with a“Prohibited User” being any person or entity that:

(a.i) is related in any way to,the governments of, or any persons within, any country or jurisdiction under a U.S. embargo enforced by the Office of Foreign Assets Control (“OFAC”), or any persons who are named on any list of sanctioned individuals or entities;

(a.ii) is (or has ever been)prohibited from the transaction pursuant to U.S. anti-money laundering,anti-terrorist, economic sanctions and asset control laws; or

(a.iii) is resident in a country or jurisdiction under a U.S. embargo enforced by OFAC;

-      You are responsible for ensuring that all details of a transaction you initiate are correct as once such transaction is submitted to the Supported Chain, Kabuni will not be able to cancel or otherwise modify such transaction;

-      non-fungible tokens and other digital assets are neither deposits of or guaranteed by a bank nor insured by the FDIC or any other governmental agency;

-      Kabuni is not responsible for any losses due to the failure of the Supported Chains to operate correctly;

-      Kabuni is not responsible or liable for any loss caused to you or your digital assets due to any theft, hacking, cyber attack or other forms of loss by third-party conduct;

-      You will not deposit or cause any assets other than Kabuni digital assets into the wallets provided;

-      You will not use the wallets provided in connection with any non-Supported Chain or any tokens or actions on or with such non-Supported Chains.

IP Rights

By accessing the Website, you acknowledge and agree that all information available on the Website, including but not limited to text, graphics, user interfaces, visual interface, photos, sounds, process flow diagrams, computer code, programs, software, products, information and documents, as well as the design, structure, selection, coordination, expression, look and feel, and layout of any content included on the Wesbite and embedded in Kabuni’s services and products are exclusively owned, controlled and/or licensed by Kabuni or its members, parent companies, licensors or affiliates. Limitations and exclusions of liability ; Indemnification

Breaches of these terms and conditions

Without prejudice to our other rights under these terms and conditions, if you breach these terms and conditions in any way, or if we reasonably suspect that you have breached these terms and conditions in anyway, we may:

-      temporarily suspend your access to the Website;

-      permanently prohibit you from accessing the Website;

Airdrop

Introduction

These terms and conditions (“Terms”) govern the participation of all individuals who wish to participate in the Airdrop campaign of Kabuni Coins (hereby referred to as “Airdrop”), as performed by Kabuni Ventures Ltd. (“Kabuni”).

Kabuni Coins are blockchain-based digital tokens that allow to interact with the platform operated by Kabuni and access Kabuni’s products and services, as available on kabuni.com and other websites operated by Kabuni and/or its affiliates. Kabuni coins are to be considered as utility tokens that enable access to the platform operated by Kabuni and make in-app purchases. Kabuni Coins do not qualify as financial instruments, payment instruments, or securities. Kabuni does not offer financial services of any kind. Risk associated with Kabuni Coins are further described in the special risk appendix attached to these Terms.

By participating in the Airdrop, participants agree to these Terms and the decisions of Kabuni, which are final and binding in all respects. Consequently, if you do not agree with these Terms in full then you must not participate in the Airdrop.

Participation in the Kabuni airdrop is open to individuals aged 18 years or older at the time of entry. Employees, contractors, directors, and officers of Kabuni, its parent, subsidiaries, and affiliated companies, and the immediate family members of each are not eligible.

Acquisition of Kabuni Coins during the Airdrop campaign

The NFTs and tokens will be distributed to the specified blockchain address provided by the participants in the Airdrop after the end of the campaign. Kabuni is not responsible for any lost, stolen, or inaccessible Kabuni Coins due to user error or issues with blockchain networks.

The Airdrop is a free distribution of Kabuni Coins intended to allow their holders to test and interact with the platform operated by Kabuni. No purchase, payment or exchange of currency (fiat or otherwise) are necessary to participate in the Airdrop.

The specific starting and ending dates of the Airdrop campaign will be communicated through official Kabuni channels. Kabuni reserves the right to modify or end the Airdrop campaign at any time without prior notice.

Special Risk Appendix : Risks related to the acquisition, possession and use of Kabuni Coins

The risks presented and listed herein are to no extent exhaustive. In addition to the risks included in this Appendix, there are other non-listed, unknown, unanticipated and unforeseeable risks associated with your acquisition, possession, and use of Kabuni Coins and Kabuni’s services and products in general. Kabuni expressly disclaims any and all responsibility for any loss or damage of any kind whatsoever arising directly or indirectly from or in relation to any information contained or not contained in this Appendix.

Technology risks: Distributed ledger technology such as blockchain and the applications derived from are in their early days. In this regard, no technical standards and no best practices have been agreed and established in this field by stakeholders. This may lead to material changes and/or technology/product abandonment in a foreseeable future.

Software Weaknesses: Kabuni’s serices and products, including but not limited to the technology surrounding the Kabuni Coins, are subject to ongoing development and many aspects remain unproven. There is no warranty or assurance that the process for creating and issuing Kabuni Coins will be uninterrupted or error-free and there is an inherent risk that the software could contain weaknesses, vulnerabilities or bugs causing, inter alia, the complete loss of Kabuni Coins. Advances in cryptography, or technical advances such as the development of quantum computers, could present risks to cryptographic tokens and to the Kabuni’s services and products.

Uncertain Regulatory Framework: The regulatory status of cryptographic tokens, digital assets and blockchain technology is unclear or unsettled in many jurisdictions. It is difficult to predict how or whether governmental authorities will regulate such technologies. It is likewise difficult to predict how or whether any governmental authority may make changes to existing laws, regulations or rules that will affect cryptographic tokens, digital assets, blockchain technology and its applications. Such changes could negatively impact the Kabuni Coins in various ways, including, for example, through a determination that the Kabuni Coins are regulated financial instruments that require registration. As a result, Kabuni could make a determination that is required or in the best interests of the Company to cease the distribution of Kabuni Coins or the offering or developpment of its services and products, or that it is required or in the best interests of the Company or cease operations in a jurisdiction in the event that governmental actions make it unlawful or commercially undesirable to continue to do so in that jurisdiction.

Blockchain activities, including the Kabuni’s services and products, could be impacted by a number of regulatory initiatives or developments in multiple jurisdictions including with respect to consumer privacy and protection, data privacy and protection, cyber security, intellectual property rights and protections, and other new categories of laws and regulations. Such regulatory initiatives and developments could significantly impact Kabuni’s services and products and/or the use of such services and products in a legally compliant way.

Insufficient Interest: The creation and issue of Kabuni Coins and the development of the Kabuni’s services and products may be abandoned for a number of reasons, including lack of interest from the public, lack of funding, lack of commercial success or prospects (e.g. caused by competing projects). Aspects of the Kabuni’s services and products may require third party development support. There is no assurance that those third parties will complete their required work or properly carry out their obligations.

Loss of Private Key: Kabuni Coins can only be accessed by using your wallet with a combination of your account information (address), private key and password. The private key is under Wallet management; access to the Wallet is password protected. You understand and accept that if the private key or password gets lost or stolen, the Kabuni Coins associated with your account (address) or password may be unrecoverable and permanently lost. Additionally, any third party that gains access to your private key, including by gaining access to the login credentials relating to your wallet, may be able to misappropriate your Kabuni Coins.

Risk of Theft / Protocol Malfunction : Kabuni’s website and services may be exposed to attacks by hackers or other individuals including, but not limited to, malware attacks, denial of service attacks, consensus-based attacks, and any other forms of cyberattacks and hacking schemes. Any such successful attacks could result in theft or loss of funds, including Kabuni Coins, adversely impacting the ability to develop Kabuni’s ervices and products and derive any usage or functionality from the Kabuni Coins as well as impacting the proper functioning thereofotocol Suite as well as the Kabuni Wallet services, by inter alia, impeding the proper execution of the transactions.

No Liquidity: Kabuni Coins are intended to be used solely in connection with Kabuni’s services and products. The Kabuni Coins are not intended for investment purposes. There may never be a secondary market for Kabuni Coins. The Kabuni Coins may be subject to significant transfer restrictions as a result of actions taken by the Company or by government regulators.

No Ownership, Voting or Control: The Kabuni Coins have no voting rights or other management or control rights. Kabuni Coins do not give holders anyownership interests or any right to receive future revenues, profits, shares, equities, securities or any other form of participation.
